5. Service Terms

5.1 Service Agreements

The provision of professional services by Pieyan Gaobeng Tech is governed by separate written service agreements executed between us and our Clients. These Terms do not constitute a service agreement. In the event of any conflict between these Terms and a executed service agreement, the service agreement shall prevail.

5.2 Scope of Services

The specific scope, deliverables, timelines, and fees for our services are defined in the applicable service agreement. We reserve the right to modify our service offerings at any time, but such modifications will not affect existing service agreements without mutual consent.

5.3 Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate and complete information necessary for the performance of services.
  • Make available appropriate personnel, resources, and access as reasonably required.
  • Review and approve deliverables in a timely manner.
  • Make payment in accordance with the agreed fee schedule.

5.4 Limitation of Services

Our services are provided on a professional basis. While we strive to meet all agreed specifications and timelines, we cannot guarantee that our services will be error-free or uninterrupted. We are not responsible for delays caused by factors outside our reasonable control, including Client actions, third-party dependencies, or force majeure events.

6. Fees and Payment

Fees for services are as set forth in the applicable service agreement. Unless otherwise stated, all fees are non-refundable. Payment terms, including invoicing schedules and late payment charges, are specified in the service agreement. We reserve the right to suspend services for overdue accounts.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of our engagement. Confidential information includes, but is not limited to, business plans, technical data, customer information, source code, algorithms, financial information, and any information designated as confidential. This obligation survives the termination of our engagement. Nothing in these Terms prevents us from disclosing information required by law or court order.

8. Limitation of Liability

8.1 Disclaimer of Warranties

The Site and all Content are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Pieyan Gaobeng Tech disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Pieyan Gaobeng Tech, its officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Site or our services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.

8.3 Cap on Liability

For services provided under a service agreement, our total liability to the Client for any claim arising out of or relating to the services shall not exceed the total fees paid by the Client to us during the twelve (12) months preceding the event giving rise to the claim. For use of the Site, our total liability shall not exceed one hundred Chinese Yuan (¥100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Pieyan Gaobeng Tech, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Site in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your infringement of any third-party intellectual property or other rights.
  • Any content or materials you submit through the Site.

10. Termination

10.1 Termination by Us

We reserve the right to terminate or suspend your access to the Site, without prior notice or liability, for any reason, including if you breach these Terms. For services, termination terms are governed by the applicable service agreement.

10.2 Termination by You

You may discontinue using the Site at any time. For termination of service engagements, the terms of the applicable service agreement shall apply.

10.3 Survival

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification obligations.

11. Third-Party Links and Resources

The Site may contain links to third-party websites or resources. We provide these links for your convenience only and do not endorse or assume any responsibility for the content, products, or services of any third party. Your use of third-party websites is at your own risk and subject to their respective terms and policies.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the use of the Site shall first be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days of written notice, the dispute shall be submitted to binding arbitration administered by the Hefei Arbitration Commission in accordance with its rules. The arbitration shall be conducted in Hefei, Anhui, and the language of the arbitration shall be Chinese. Each party shall bear its own costs and attorneys' fees.

12.3 Class Action Waiver

All disputes shall be resolved on an individual basis. You agree not to bring or participate in any class, consolidated, or representative action against Pieyan Gaobeng Tech.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while reflecting the original intent as closely as possible.

14. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Pieyan Gaobeng Tech regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on the Site, with a revised "Last Updated" date. We encourage you to review these Terms periodically. Your continued use of the Site after any changes constitutes your acceptance of the modified Terms.
